  • Introduction / Overview

Aire Valley Consultancy Limited was established in 2024 by Angela Senior as a consultancy focusing on supporting & guiding small & medium sized businesses, developing their managers into leaders, improving, & developing employee engagement & organisational culture through pragmatic, operation-based solutions that are realistic & cost-effective. My solutions are founded on pragmatism, authenticity, support, “doing the right thing” & sustainability. My values are honesty, trust, integrity, kindness, and empathy.

 

With 25 years in the industry, and finishing my employed role as an Operations Director, I can support business with their operational and people aims, goals and deliverables.


  • Parties / Stakeholders

These terms of business are set out between Angela Senior T/A Aire Valley Consultancy Limited (Service provider) and ……Client (Client) …………………….


  • Agreement

These terms of business represent an agreement between the stakeholders named above. The service provider will provide services as agreed in the written proposal & terms of business. The client will agree to provide all employee information as reasonably requested by the service provider to be able to perform their services in full. Any agreed timescales will only commence upon confirmed receipt of requested information by the service provider.


  • Chargeable Services

Please see your separate proposal, which forms part of these terms, for a full breakdown of chargeable services & list of rates payable.


  • Expenses / Mileage

Mileage will be charged at the rate of 50 pence per mile. Site visits will be agreed and authorised in writing in advance. Any other out of pocket expenses will be submitted with receipts and full expense sheet. Expenses to be payable to Aire Valley Consultancy Limited by bank transfer to the nominated bank account.


  • Payment Terms / Deposit

A 50% deposit of the expected total cost will be invoiced in advance of any project work undertaken & to secure any required dates. The balance will be invoiced following completion.

 

Payment is due no later than 30 days after the date of the invoice. In the event of any invoices being outstanding after the due date, Aire Valley Consultancy Limited reserves the right to charge interest at the rate of 10% per month or part thereof. Aire Valley Consultancy Limited also reserves the right to stop work on any project or withdraw services if any due invoices remain outstanding.


  • Annual Fee Review

All fees and charges are reviewed annually in December with any changes expected to be increased at least in line with the prevailing rate of inflation.


  • Annual review

This agreement is valid for a period of 12 months from …29th January 2024….. & will be renewed automatically at the year-end or until notice is given. The service provider will facilitate a review with the client prior to the end of the 12-month period to ensure the agreement meets the requirements of both parties


  • Notice / Termination of Retained Services

Any notice to terminate our retained services must be given in writing no less than 30 days before the next due payment. Notice should be sent to Angela Senior, Aire Valley Consultancy Limited, 1 Old Foundry, Ireland Street, Bingley, West Yorkshire, BD16 2QF.


  • Notice / Termination of Ad hoc Project Work

Any notice to terminate any contracted project work must be given in writing no less than 7 days before work is due to commence. Any work undertaken & incurred reasonable expenses are to be paid for within 7 days of the terminating invoice date. Aire Valley Consultancy Limited reserves the right to charge interest on any outstanding balances past the due date at a rate of 10% for every 7 days or part thereof.

 

Any cancellations made with less than 7 days’ notice before the work is due to begin will be charged 50% of the total fee. Any cancellations made less than 48 hours before the agreed start date will incur the full agreed fee. 

 

If there has been a breach of the terms of business by the client, Aire Valley Consultancy Limited reserves the right to terminate this agreement forthwith.

 

If there has been a breach of the obligations of Aire Valley Consultancy Limited under the terms of this agreement, the client may terminate this agreement with no liability other than for outstanding invoices & expenses.


  • Standards of Ethics & Professionalism

Aire Valley Consultancy Limited is committed to the maintenance of good practice & adheres to the CIPD Code of Conduct which sets out the standards of professional behaviour & integrity expected of HR Professionals.


  • Liability Insurance

Aire Valley Consultancy Limited holds Professional Indemnity Insurance, further details are available upon request.


  • Partner Agreements
  • Any variation to the scope of the work and/or time needed will be agreed by both parties in writing.
  • Both parties will comply with all requirements of Data Protection Legislation and GDPR. 
  • The provider undertakes not to use any confidential information for any purpose except the purpose of the service, without first obtaining written agreement.
  • The provider undertakes to keep the confidential information secure and not to disclose it to any third party. 
  • Nothing in this Agreement will prevent the provider from making any disclosure of the confidential information required by law or by any competent authority. 
  • The provider will, on request, return all copies and records of the confidential information and will not retain any copies or records of the confidential information. 
  • The provider must not breach any tax or social security obligations and must enter into a binding agreement to pay any late contributions due, including where applicable, any interest or any fines.
  • The provider must promptly notify and provide details to the client if a conflict of interest happens or is expected to happen. 
  • The client will endeavour to provide support and assistance to the provider wherever needed in the interests of completing work.
